Terms of Service

You must be at least 16 years old, and old enough to enter a contract where you live. If you use Nia for an organisation, you confirm you're allowed to accept these terms for it.

You sign in with a third-party account (Google, GitHub, Microsoft, Discord, Spotify or Slack). You're responsible for keeping that account secure, and for what happens under your Nia account, including anything done with API keys you create or devices you link. Tell us straight away at security@niaspark.com if you think someone else has access.

Nia is an AI assistant that can do real things on your behalf: run commands, edit files, browse the web, control your computer or Android phone, send email and messages, and act in services you connect. You're responsible for what you ask it to do, and for checking actions it proposes before you approve them. If you turn on auto-approval, or set up a Bot or automation to act on its own, you accept responsibility for the actions it takes without asking.

Nia's answers are generated by AI models, from OpenAI, Anthropic, Google, DeepSeek or Zhipu AI, or by local models. AI output can be wrong, incomplete, out of date or misleading, even when it sounds confident. Don't rely on it as professional (medical, legal, financial or safety) advice, and check anything important before acting on it. Where a third-party model is involved, its provider's usage policies apply too.

You own what you put into Nia (messages, files, notes, tasks, events) and, as far as we're concerned, what Nia produces for you. You give us permission to store, copy, process and transmit your content, including sending it to the AI and other service providers described in the Privacy Policy, only as needed to run Nia for you, keep it secure, and meet legal obligations. That permission ends when you delete the content or your account, except for copies kept for the periods stated in the Privacy Policy.

You confirm you have the right to use the content you give Nia, and that using it with Nia doesn't break anyone else's rights. We don't use your content to train AI models.

You agree to follow the Acceptable Use Policy. It applies equally to actions taken by Bots, automations and scheduled tasks you set up.

When you connect Gmail, GitHub, WhatsApp, Microsoft or any other service, your use of that service is governed by its own terms, and you're responsible for following them. We aren't responsible for third-party services, their availability, or changes they make that break an integration.

Some features may require a paid plan. If you buy one:

• The price, billing period and what's included are shown before you pay.
• Subscriptions renew automatically at the end of each period until you cancel. You can cancel at any time, and you keep access until the end of the period you've paid for.
• Payments aren't refundable except where the law requires it, or where we can't provide the service you paid for. In that case, email support@niaspark.com.
• We'll give you at least 30 days' notice of a price change, which applies from your next billing period.
• Usage limits (for example on messages or agents) may apply and are shown in the app.

Nia is under active development. Features can change, break or be removed, and there may be downtime. We'll try to give notice of changes that matter, but we don't promise any particular level of availability.

You can stop using Nia and delete your account at any time (see Delete your data). We may suspend or close your account if you seriously or repeatedly break these terms, if you put other users, Nia or third parties at risk, or if the law requires it. Where it's reasonable, we'll warn you first and explain why. If we close Nia entirely, we'll give at least 30 days' notice so you can export your data, and refund any unused prepaid period.

Nia is provided “as is” and “as available”. To the extent the law allows, we make no warranties of any kind, express or implied, including that Nia will be accurate, uninterrupted, error-free or fit for a particular purpose.

To the extent the law allows, we aren't liable for indirect, incidental, special or consequential losses, or for lost profits, data, or business, arising from your use of Nia. This includes losses from actions Nia takes that you asked for or approved. Our total liability for any claim relating to Nia is limited to the greater of the amount you paid us in the 12 months before the claim, or USD 50.

Nothing in these terms limits liability that can't be limited by law, such as for fraud, or for death or personal injury caused by negligence, or your rights as a consumer under the law where you live.

If someone makes a claim against us because of content you gave Nia, actions you had Nia or your Bots take, or your breach of these terms, you agree to cover our reasonable costs of dealing with it, to the extent the law allows.

These terms are governed by the laws of Zambia, and disputes go to its courts. If you're a consumer, you also keep any protections and the right to bring a claim where you live, if the law there gives you that right. Before starting any formal dispute, please email legal@niaspark.com so we can try to sort it out.

We may update these terms as Nia changes. For significant changes, we'll tell signed-in users by email or in the app at least 14 days before they take effect. If you keep using Nia after that, the new terms apply. If you don't agree, you can delete your account.

If part of these terms turns out to be unenforceable, the rest still applies. Not enforcing a term straight away doesn't mean we've given it up. You can't transfer these terms to someone else without our agreement. We may transfer them to a company set up to run Nia, and we'll tell you if we do. Questions: legal@niaspark.com.
